KGO-AM RADIO, INC. (LICENSEE), LICENSEE OF COMMERCIAL RADIO STATIONS KGO(AM), SAN FRANCISCO, CALIFORNIA AND KSFO(AM), SAN FRANCISCO, CALIFORNIA HEREBY REQUESTS AN EXTENSION OF TIME TO CONSUMMATE THE PRO FORMA ASSIGNMENT (ASSIGNMENT) SET FORTH IN CDBS FILE NO. BAL-20060209ADR (APPLICATION). AS STATED IN THE APPLICATION, THE ASSIGNMENT IS RELATED TO A PROPOSED MERGER OF CERTAIN SUBSIDIARIES OF THE WALT DISNEY COMPANY (TWDC) AND CITADEL BROADCASTING CORPORATION (MERGER TRANSACTION). THE FEDERAL COMMUNICATIONS COMMISSION (FCC) CONSENTED TO THE ASSIGNMENT ON FEBRUARY 16, 2006. ON MAY 8, 2006, LICENSEE REQUESTED A 90-DAY EXTENSION TO CONSUMMATE THE ASSIGNMENT BECAUSE OTHER APPLICATIONS (OTHER APPLICATIONS) RELATED TO THE MERGER TRANSACTION WERE PENDING BEFORE THE FCC, SEE, E.G., BTC-20060228ABG. BECAUSE THE OTHER APPLICATIONS STILL REMAIN PENDING, AN EXTENSION OF TIME TO CONSUMMATE THE ASSIGNMENT IS NECESSARY. ACCORDINGLY, THE LICENSEE RESPECTFULLY REQUESTS A SECOND 90-DAY EXTENSION OF TIME TO CONSUMMATE THE ASSIGNMENT.
