THIS CROSS INTEREST WAS PREVIOUSLY PASSED UPON IN BTC-20040202ACL, THROUGH WHICH M. PETER MILLER, III, AS SUCCESSOR TRUSTEE UNDER HIS FATHER'S (M. PETER MILLER, JR.'S) FAMILY TRUST AGREEMENT, ACQUIRED POSITIVE CONTROL OF THE RADIO STATIONS THOUGH HIS OWNERSHIP, AS TRUSTEE, OF A 95% INTEREST IN THE LICENSEE. ALSO DUE TO HIS POSITION AS SUCCESSOR TRUSTEE, HE BECAME THE 100% STOCKHOLDER OF THE NEWSPAPER PUBLISHING COMPANY.

STATION WLWF, MARSAILLES, ILLINOIS, IS NOT PART OF THIS GRANDFATHERED COMBINATION. IT WAS ACQUIRED IN 1999 PURUSANT TO BALH-19990413GE BY VIRTUE OF A SHOWING THAT THE 60 DBU CONTOUR OF THE STATION DOES NOT ENCOMPASSS LA SALLE, WHERE THE DAILY NEWSPAPER IS PUBLISHED.

THE ONLY CHANGE TO THE EXISTING GRANDFATHERED NEWSPAPER/RADIO CROSS INTEREST ARRANGEMENT IS THE SUCCESSION OF A NEW TRUSTEE, CATHERINE E. MILLER, FOR HER DECEASED HUSBAND, M. PETER MILLER, III, AS PROVIDED UNDER THE TRUST AGREEMENT.   MRS. MILLER SUCCEEDS TO BOTH THE NEWSPAPER AND BROADCAST INTERESTS OF HER HUSBAND, WHICH ARE OWNED BY THE M. PETER MILLER III TRUST, A FAMILY TRUST. A COPY OF THE TRUST AGREEMENT IS ATTACHED TO THIS APPLICATION. MRS. MILLER IS MERELY STEPPING INTO THE SHOES OF HER HUSBAND, WHO WAS PASSED UPON IN BTC-20040202ACL AS QUALIFIED TO CONTROL THIS GRANDFATHERED NEWSPAPER/RADIO COMBINATION UNDER SIMILAR CIRCUMSTANCES.

THE FCC SPECIFICALLY PERMITS TRANSFERS OF CONTROL WITHIN FAMILIES WITHOUT REGARD TO THE NEWSPAPER-BROADCAST CROSS-OWENERSHIP RULE WHEN, AS HERE, THE TRANSFER IS TO AN HEIR AND NO NEW INTERESTS ARE BEING ACQUIRED. SEE RULE SECTION 73.3555, NOTE 4.
