CHANGES IN INTERESTS AS A RESULT OF PROPOSED TRANSFER

THE TRANSFER OF CONTROL REQUESTED HEREIN IS TO BE EFFECTED IN EACH OF TWO WAYS.

FIRST, THERE WILL BE A TRANSFER OF CONTROL OF SUNBURST MEDIA, INC. ('SMI') THE SOLE MANAGER OF THE LICENSEE LLC, FROM JOHN BORDERS TO JAMES ANDERSON BY MEANS OF A VOTING RIGHTS AGREEMENT BY WHICH MR. BORDERS, WHO CURRENTLY OWNS AND VOTES 100 PERCENT OF THE STOCK OF SMI, WILL AUTHORIZE MR. ANDERSON, THE CEO OF MOMENTUM PLAN I LTD, LLC ('MOMENTUM') TO ELECT A NEW BOARD OF DIRECTORS OF SMI.

SECOND, THE VOTING RIGHTS AMONG THE MEMBERS OF THE LICENSEE LLC WILL SHIFT FROM MR. BORDERS TO MOMENTUM. THIS WILL BE EFFECTED BY TWO DOCUMENTS. A SECURITIES PURCHASE AGREEMENT PROVIDES THAT, UPON FCC CONSENT TO THE PRESENT APPLICATION, ALL NON-VOTING CLASS B MEMBERSHIP INTERESTS SHALL ACQUIRE VOTING RIGHTS AND THUS HAVE VOTING RIGHTS EQUAL TO THE PRESENT CLASS A MEMBERSHIP INTERESTS. THUS, THE 33.3% CLASS B NON-VOTING MEMBERSHIP INTERESTS CURRENTLY HELD BY EACH OF MOMENTUM AND ALDUS SUNBURST, INC. ('ALDUS') WILL EACH BECOME 33.3% VOTING MEMBERS. CONSEQUENTLY, MR. BORDERS, WHO CURRENTLY HOLDS 89.09% OF THE CLASS A MEMBERSHIP INTERESTS, AND WHO THUS EXERCISES 89.09% OF THE VOTING RIGHTS, WILL LOSE POSITIVE CONTROL AND WILL HAVE ONLY 29.70% OF THE VOTING RIGHTS. IN ADDITION, BY MEANS OF A JULY 18, 2006 LETTER, ALDUS WILL AUTHORIZE MOMENTUM TO VOTE ITS MEMBERSHIP INTEREST IN THE LICENSEE. AS A RESULT, MOMENTUM WILL VOTE 66.7% OF THE MEMBERSHIP INTERESTS AND WILL HAVE POSITIVE CONTROL.

CITIZENSHIP, ADDRESS, OWNERSHIP AND OTHER RELEVANT INFORMATION FOR MOMENTUM AND ALDUS ARE GIVEN IN THE TRANSFEREE'S SECTION OF THIS APPLICATION.

IN A PROCEEDING INVOLVING A LICENSE APPLICATION (FILE NO. BLTTA-20001208AEF) TO CONVERT WFUN-LP TO A CLASS A STATION, A LACK OF CANDOR ISSUE WAS RAISED BY A THIRD PARTY PETITIONER AGAINST THE APPLICANT.
