THE PROPOSED ASSIGNEE, JACOR BROADCASTING CORPORATION, IS A SUBSIDIARY OF CLEAR CHANNEL COMMUNICATIONS, INC. ('CLEAR CHANNEL'). SIMULTANEOUS WITH THE FILING OF THE INSTANT APPLICATION SEEKING CONSENT FOR THE ACQUISITION OF STATIONS WOGB(FM), WDUZ(AM) AND WDUZ-FM, AN APPLICATION IS BEING FILED BY CLEAR CHANNEL SUBSIDIARY CITICASTERS LICENSES, INC. SEEKING CONSENT TO THE ACQUISITION OF STATIONS WQLH(FM) AND WPCK(FM). ALL FIVE RADIO STATIONS ARE CONSIDERED AS BEING IN THE GREEN BAY, WISCONSIN ARBITRON MARKET FOR FCC MARKET DEFINITION PURPOSES. THE GREEN BAY, WI MARKET CONTAINS 19 FULL-POWER RADIO STATIONS. SEE ATTACHED BIA REPORT: GREEN BAY, WI. IN MARKETS WITH BETWEEN 15 AND 29 FULL-POWER RADIO STATIONS, SECTION 73.3555(A) OF THE COMMISSION'S RULES ALLOWS COMMON CONTROL OF SIX RADIO STATIONS, NOT MORE THAN FOUR OF WHICH ARE IN THE SAME SERVICE. CONSEQUENTLY, THE TRANSACTION PROPOSED HEREIN WILL COMPLY WITH THE COMMISSION'S OWNERSHIP RULES BECAUSE, FOLLOWING THE ACQUISITION OF THE GREEN BAY AREA STATIONS, CLEAR CHANNEL WILL OWN FIVE RADIO STATIONS IN THE MARKET (FOUR FM AND ONE AM).    

ADDITIONALLY, STATIONS WDUZ-FM AND WOGB(FM) ARE CONSIDERED AS BEING IN THE APPLETON-OSHKOSH, WI ARBITRON MARKET FOR FCC MARKET DEFINITION PURPOSES. THE APPLETON-OSHKOSH, WI MARKET CONTAINS 24 FULL-POWER RADIO STATIONS. SEE ATTACHED BIA REPORT: GREEN BAY, WI. IN MARKETS WITH BETWEEN 30 AND 44 FULL-POWER RADIO STATIONS, SECTION 73.3555(A) OF THE COMMISSION'S RULES ALLOWS COMMON CONTROL OF SEVEN RADIO STATIONS, NOT MORE THAN FOUR OF WHICH ARE IN THE SAME SERVICE. CHARACTER-RELATED ALLEGATIONS HAVE BEEN RAISED AGAINST CAPSTAR TX LIMITED PARTNERSHIP, A LICENSEE UNDER COMMON OWNERSHIP WITH THE APPLICANT. SPECIFICALLY, IN ITS CONSOLIDATED REPLY TO RESPONSES TO THE APRIL 23, 2004 FCC LETTER OF INQUIRY REGARDING THE ASSIGNMENT OF LICENSE OF WQYZ(FM), OCEAN SPRINGS, MISSISSIPPI, FROM GOLDEN GULF COAST BROADCASTING, INC. TO CAPSTAR TX LIMITED PARTNERSHIP, (FCC FILE NO. BALH-20031125ALX), WJZD, INC. ALLEGED THAT THE PARTIES TO THE ASSIGNMENT LACKED CANDOR IN THEIR RESPONSE TO AN FCC INQUIRY. THE MEDIA BUREAU, ON MAY 26, 2005, DENIED WJZD, INC.'S PETITION TO DENY AND GRANTED THE UNDERLYING ASSIGNMENT APPLICATION. ON MARCH 12, 2007, THE BUREAU DENIED WJZD, INC.S PETITION FOR RECONSIDERATION OF THAT ACTION. WJZD, INC. FILED AN APPLICATION FOR REVIEW OF THIS DECISION ON APRIL 11, 2007, WHICH REMAINS PENDING.
