MULTIPLE OWNERSHIP COMPLIANCE

ASSIGNEE IS THE LICENSEE OF FOUR NONCOMMERCIAL EDUCATIONAL FM STATIONS, AND IS THE PERMITTEE OF A FIFTH NONCOMMMERCIAL EDUCATIONAL FM STATION. NONE OF THESE STATIONS IS IN THE SAME MARKET AS WZEZ; REGARDLESS, NONCOMMERCIAL EDUCATIONAL STATIONS ARE NOT CONSIDERED IN DETERMINING MULTIPLE OWNERSHIP COMPLIANCE.

ASSIGNEE NOTES THAT IT IS SIMULTANEOUSLY SEEKING CONSENT TO THE ASSIGNMENT OF WGGM (AM), CHESTER, VA (FACILITY ID 27440). UPON THE CONSUMMATION OF THE PROPOSED ASSIGNMENTS OF WGGM AND WZEZ, THE ASSIGNEE WOULD BE LICENSEE OF A COMMERCIAL AM-FM COMBO IN THE RICHMOND, VA ARBITRON MARKET, WHICH IS PERMITTED UNDER THE COMMISSION'S MULTIPLE OWNERSHIP RULES.

FINALLY, AS DEMONSTRATED IN EXHIBIT 15, PRINCIPALS OF THE ASSIGNEE HAVE ATTRIBUTABLE INTERESTS IN OTHER STATIONS. OF THOSE STATIONS, ONLY WLES(AM), BON AIR, VA (FACILITY ID 72504), IS IN THE RICHMOND MARKET. THE RICHMOND MARKET HAS 41 FULL-POWER RADIO STATIONS (SEE ATTACHED BIA MARKET REPORT). PURSUANT TO SECTION 73.3555(A)(1)(II), ENTITIES UNDER COMMON CONTROL MAY HAVE COGNIZABLE INTERESTS IN UP TO SEVEN COMMERCIAL STATIONS IN THE MARKET. BECAUSE THE ASSIGNMENTS OF WGGM AND WZEZ WILL RESULT IN COMMON CONTROL OF A TOTAL OF THREE COMMERCIAL RADIO STATIONS IN THE RICHMOND MARKET, THIS ASSIGNMENT COMPLIES WITH THE COMMISSION'S MULTIPLE OWNERSHIP RULES.
