THE SCRIPPS FAMILY SHAREHOLODERS ARE SHAREHOLDERS OF THE E.W. SCRIPPS COMPANY WHO CONTROL A MAJORITY OF THAT COMPANY'S VOTING STOCK (SEE THE OWNERSHIP REPORT FOR THE E.W. SCRIPPS COMPANY FOR CAPITALIZATION INFORMATION). THEY HAVE ENTERED INTO THE SCRIPPS FAMILY AGREEMENT, AN AGREEMENT THAT GOVERNS THE VOTING OF AND RESTRICTS THE TRANSFER OF THESE SHARES. UNDER THE SCRIPPS FAMILY AGREEMENT, EACH SCRIPPS FAMILY SHAREHOLDER IS BOUND TO VOTE HIS OR HER SHARES IN ACCORD WITH THE MAJORITY OF THE SCRIPPS FAMILY SHAREHOLDERS.
