ON MARCH 27, 2018, MATRIX AND MATRIX BROADCASTING HOLDINGS, LLC, THE PARENT OF MATRIX, FILED VOLUNTARY PETITIONS FOR BANKRUPTCY WITH THE UNITED STATES BANKRUPTCY COURT FOR THE NORTHERN DISTRICT OF TEXAS SEEKING RELIEF UNDER THE PROVISIONS OF CHAPTER 11 OF THE UNITED STATES BANKRUPTCY CODE TO EFFECTUATE A RESTRUCTURING OF THE DEBT OBLIGATIONS OF MATRIX, IN RE MATRIX BROADCASTING, LLC, CASE NO. 18-31045 (THE 'BANKRUPTCY CASE').

UNDER THE FCC'S LOCAL RADIO OWNERSHIP RULE, ALPHA IS NOT PERMITTED TO OWN MORE THAN FIVE FM RADIO STATIONS IN THE CHICAGO, ILLINOIS NIELSEN METRO. AS A RESULT, CONTEMPORANEOUSLY WITH THE MATRIX APA, ALPHA ENTERED INTO AN ASSET PURCHASE AGREEMENT TO SELL WFXF TO EDUCATIONAL MEDIA FOUNDATION AND AN ASSET PURCHASE AGREEMENT TO SELL ALPHA'S RADIO BROADCAST STATION WRXQ(FM), COAL CITY, ILLINOIS (FACILITY ID NO. 3959), TO WALNUT RADIO ILLINOIS, LLC. EDUCATIONAL MEDIA FOUNDATION ('EMF') IS THE LICENSEE OR PERMITTEE OF NONCOMMERCIAL EDUCATIONAL STATIONS THROUGHOUT THE UNITED STATES. SEE ATTACHED NONCOMMERCIAL EDUCATIONAL CERTIFICATION AND SECTION II OF FCC FORM 340.

EMF WILL PREPARE AND FILE AN FCC FORM 302-FM TO CONVERT WFXF(FM), DUNDEE, ILLINOIS TO A NONCOMMERCIAL EDUCATIONAL STATION AS IT REGULARLY DOES WITH THE COMMERCIAL STATIONS IT ACQUIRES.
