EXH. 38 JUSTIFICATION FOR EARLY DTV TRANSITION

STATION KPCB-DT IS LICENSED ON DTV CHAN. 10 AND HAS OPTED TO RETURN TO ITS ANALOG CHAN. 17 AS ITS POST-TRANSITION DTV CHANNEL.

ON JANUARY 2, 2009, KPCB-DT FILED AN ELECTRONIC NOTIFICATION WITH THE COMMISSION STATING THAT IT INTENDS TO PERMANENTLY TERMINATE ITS DTV CHAN. 10 OPERATION AND EXECUTE ITS TRANSITION FROM DTV CHAN. 10 TO DTV CHAN. 17 ON FEBRUARY 3, 2009. THE LICENSEE HAS FOUR STATIONS TO TRANSITION TO THEIR POST-DTV CHANNELS BY FEB. 17, AND THE SMALL NUMBER OF STAFF AVAILABLE FOR THE TRANSITION NECESSITATES A PHASED SCHEDULE IN WHICH KPCB'S TRANSITION MUST OCCUR ON FEB. 3 (THE OTHER TRANSITIONS WILL OCCUR ON JAN. 27, FEB. 10, AND FEB. 17).

SINCE THERE WILL BE NO INTERRUPTION IN KPCB-DT'S DTV SERVICE -- ONLY THE CHANGE OF DTV CHANNEL -- KPCB DOES NOT ENVISION ANY NEGATIVE EFFECT ON ITS DTV VIEWING AUDIENCE BECAUSE OF THIS EARLY TRANSITION. KPCB-DT'S POST-TRANSITION DTV COVERAGE EXCEEDS ITS PRE-TRANSITION DTV COVERAGE AND MATCHES KPCB'S CURRENT ANALOG COVERAGE. MOST IMPORTANTLY, DELBERT DICK, THE LICENSEE'S ASSISTANT CHIEF ENGINEER, HAS CONDUCTED AN ENGINEERING ANALYSIS AND CONCLUDES THAT, EVEN WITH KPCB-DT OPERATING WITH ITS FULL FACILITIES, EARLY TRANSITION WILL NOT CREATE INTERFERENCE TO ANY OTHER CURRENTLY OPERATING ANALOG OR DIGITAL TV STATION DURING THE FEB. 3-17 PERIOD.

ON OR ABOUT DECEMBER 19, 2008, KPCB BEGAN GIVING ON-AIR VIEWER NOTIFICATIONS OF ITS FEB. 3, 2009 EARLY TRANSITION IN ACCORDANCE WITH COMMISSION GUIDELINES.
