THE LICENSEE HAS CONDUCTED THE AFFAIRS OF THE STATIONS THROUGH ITS WHOLLY OWNED SUBSIDIARY, NEW HAMPSHIRE PUBLIC BROADCASTING (NHPB). AS OF JULY 1, 2012, NHPB HAS BEEN RECONSTITUTED AS A NEW HAMPSHIRE NONPROFIT CORPORATION THAT IS NO LONGER AFFILIATED WITH THE UNIVERSITY SYSTEM OF NEW HAMPSHIRE BOARD OF TRUSTEES. THE DISAFFILIATION AGREEMENT IS ATTACHED HERETO AS ASSIGNOR'S EXHIBIT 5. CERTAIN OF THE EXHIBITS TO THE AGREEMENT HAVE NOT BEEN INCLUDED BECAUSE THEY ARE NOT MATERIAL TO THE COMMISSION'S CONSIDERATION OF THIS APPLICATION AND THERE IS NO PUBLIC INTEREST RATIONALE THAT WOULD REQUIRE THEM TO BE MADE PUBLIC. ATTACHED IS A COMPLETED FCC FORM 340 SECTION II CONCERNING NHPB'S NONCOMMERCIAL EDUCATIONAL QUALIFICATIONS.

THIS AMENDMENT IS FILED TO RESPOND TO AN INFORMAL INQUIRY FROM THE MEDIA BUREAU STAFF AS TO THE IDENTIFICATION OF NHPB GOVERNING BOARD MEMBERS WITHIN THE SERVICE AREAS OF THE TWO NHPTV SATELLITE STATIONS. AS NOTED IN THE APPLICATION, THE FLAGSHIP STATION HOUSING THE MAIN STUDIO OF THE NETWORK IS WENH-TV, DURHAM, AND THE SATELLITE STATIONS ARE WLED-TV, LITTLETON, AND WEKW-TV, KEENE. THE NETWORK HAS BEEN OPERATED IN THIS MANNER SINCE THE SATELLITE STATIONS STARTED BROADCASTING OVER 30 YEARS AGO. THE SATELLITE STATIONS PROVIDE SERVICE IN LESS POPULATED AND RURAL AREAS THAT COULD NOT POSSIBLY SUPPORT THE OPERATION OF INDEPENDENT FULL-SERVICE PUBLIC TELEVISION STATIONS. KEENE IS A COMMUNITY OF ABOUT 25,000 RESIDENTS LOCATED NEAR THE GREEN MOUNTAIN NATIONAL FOREST. LITTLETON IS A TOWN OF ABOUT 6,000 RESIDENTS LOCATED AT THE EDGE OF THE WHITE MOUNTAINS. THE CONTINUED OPERATION OF THESE SATELLITE STATIONS IS ESSENTIAL TO STATEWIDE COVERAGE NOW THAT THE STATE HAS DEFUNDED PUBLIC TELEVISION AND A COMMUNITY GROUP IS STEPPING IN TO MAINTAIN SERVICE.

THERE ARE FIVE NHPB BOARD MEMBERS WHO RESIDE WITHIN THE KEENE STATION SERVICE CONTOUR:

LOIS HASKINS RESIDES IN HANCOCK. MS. HASKINS IS PRESIDENT OF TALKING NUMBERS, SPECIALIZING IN STRATEGIC AND OPERATIONAL SENIOR FINANCE SUPPORT. SHE IS THE TREASURER FOR THE TOWN OF HANCOCK AND SERVES ON THE BOARD OF THE HANNAH GRIMES CENTER, WHICH IS BASED IN KEENE.

BILL BARKER RESIDES IN DUBLIN. MR. BARKER IS RETIRED AFTER A 36 YEAR CAREER AT THE MARKEM CORPORATION, A DIVERSE MANUFACTURER HEADQUARTERED IN KEENE. MR. BARKER SERVES ON THE BOARD OF DIRECTORS OF THE DUBLIN SCHOOL, A PREPARATORY PRIVATE HIGH SCHOOL IN DUBLIN.

JOHN SWOPE RESIDES IN CONCORD. MR. SWOPE IS A RETIRED PRESIDENT OF A FORMER CHUBB INSURANCE COMPANY BASED IN CONCORD. HE IS A BOARD MEMBER OF THE CURRIER MUSEUM OF ART IN MANCHESTER AND A MEMBER EMERITUS OF THE BOARD OF TRUSTEES OF THE CAPITOL CENTER FOR THE ARTS IN CONCORD.

JAMES MCKIM RESIDES IN GOFFSTOWN (A COMMUNITY TO THE EAST OF MANCHESTER). HE IS A LEARNING PROGRAM MANAGER AT HEWLETT-PACKARD. MR. MCKIM BRINGS ANOTHER PERSPECTIVE TO THE BOARD AS AN AFRICAN AMERICAN IN AN AREA WITH RELATIVELY FEW MINORITY RESIDENTS. JAMES IS A MEMBER OF THE DARTMOUTH COLLEGE FRATERNITY ADVISORY COUNCIL AND THE NH HIGH TECH COUNCIL.

SEAN OKANE RESIDES IN HOLLIS (A COMMUNITY TO THE EAST OF NASHUA). HE OVERSEES HOTEL STRATEGIC ALLIANCE FOR SCHNEIDER-ELECTRIC. MR. OKANE IS THE FORMER DIRECTOR OF THE DEPARTMENT OF RESOURCES AND ECONOMIC DEVELOPMENT FOR THE STATE OF NH AND FORMER GENERAL MANAGER OF THE CENTER OF NEW HAMPSHIRE, THE STATES LARGEST CONVENTION CENTER.

SHE SERVES ON THE BOARD OF DIRECTORS AND IS TREASURER OF THE NORTH COUNTRY HOME HEALTH AND HOSPICES AGENCY, A NONPROFIT ORGANIZATION IN LITTLETON.

COLLEEN CHEN RESIDES IN SUGAR HILL, JUST SOUTH OF LITTLETON. SHE IS A NATIVE OF BEDFORD, NEW HAMPSHIRE AND HAS BEEN IN AVIATION HER ENTIRE WORKING CAREER, WITH AIRPLANE AND HELICOPTER PILOT LICENSES AND COMMERCIAL AND INSTRUCTOR RATINGS.
